Job Description

JOB PURPOSE:Supports the delivery of the ADNOC Groupu2019s Corporate Ethics & Compliance Program as approved by the Group Compliance Committee (u201CGCCu201D) from time to time (u201CCompliance Programu201D) in line with international standards. In particular, responsible for the ADNOC Groupu2019s International Trade Controls and Sanctions Program. Advises the executive functions of ADNOC and the business lines on international trade controls and sanctions (u201CITCu201D) compliance. Supports the ITC elements of ADNOC transactions, in coordination with external counsel where necessary. Provides day to day support and guidance to embedded legal and compliance functions in each ADNOC Group Company on ITC matters in particular. More generally, as required supports the business in managing and mitigating the corporate ethics and compliance risks of the ADNOC Group including bribery and corruption third party integrity regulatory compliance market abuse antitrust and competition and international trade controls and sanctions. Provides legal advice and expertise in these areas implements monitoring programs, drafts policies/procedures and delivers training/awareness programs.KEY ACCOUNTABILITIES:u2022 Responsible for designing and delivering the ADNOC Groupu2019s ITC Program, and supporting the business and wider Group in effective implementation.u2022 Advises management, the executive functions of ADNOC and the business lines on ITC compliance.u2022 Provides advice and support to the business lines to facilitate the implementation of robust ITC compliance practices.u2022 Advises on the compliance aspects of any project or transaction or other undertaking that ADNOC may be involved in, including drafting contractual protections and negotiating with third parties, particularly in relation to ITC matters.u2022 Supports the international ITC compliance requirements of ADNOC transactions, in coordination with external counsel.u2022 Delivers effective and up to date awareness and training programs for ADNOC, and coordinates with other Group Companies on wider training and development initiatives, particularly in relation to ITC.u2022 Provides day to day support and guidance to embedded legal and compliance functions in each ADNOC Group Company, on ITC matters in particular.u2022 Provides legal and compliance advice to all ADNOCu2019s business units on compliance issues as and when required, including, but not limited to, bribery and corruption third party integrity regulatory compliance market abuse antitrust and competition and ITC.u2022 Supports the implementation of the Compliance Program.u2022 Responsible for delivering individual projects falling within the Compliance Program.u2022 Writing ADNOC policy and procedure to support an effective Corporate Ethics & Compliance program, particularly in relation to ITC compliance.u2022 Provides knowledge transfer and support in the development of junior lawyers and compliance professionals in the function.u2022 Supports the Departmentu2019s regular reporting obligations, and aggregating Group Company reporting as necessary.u2022 Liaising with parts of the business in relation to effective management of compliance issues.u2022 Undertakes investigations allegations of non-compliant conduct, as and when directed by the GCC or the sub-committee.Generic Accountabilities:Supervision:u2022 Plan, supervise and coordinate all activities in the assigned area to meet functional objectives.u2022 Train and develop the assigned staff on relevant skills to enable them to become proficient on the job and deliver the respective section objectives.Budgets:u2022 Provide input for preparation of the Unit / Divisional budgets and assist in the implementation of the approved Budget and work plans to deliver objectives.u2022 Investigate and highlight any significant variances to support effective performance and cost control.Policies, Systems, Processes & Procedures:u2022 Implement approved Unit / Divisional policies, processes, systems, standards and procedures in order to support execution of the work programs in line with Company and International standards.Performance Management:u2022 Contribute to the achievement of the approved Performance Objectives for the Unit / Division in line with the Company Performance framework.Innovation and Continuous Improvement:u2022 Design and implement new tools and techniques to improve the quality and efficiency of operational processes.u2022 Identify improvements in internal processes against best practices in pursuit of greater efficiency in line with ISO standards in order to define intelligent solutions for issues confronting the function.COMMUNICATIONS & WORKING RELATIONSHIPS:Internal:u2022 Regular contacts with ADNOC staff members, for the purposes of delivery of the ADNOC Group Compliance Program, and assisting the business in their identification and mitigation of compliance risks.u2022 Regular contact with the ADNOC Groupu2019s compliance functions.u2022 Regular contact with ADNOCu2019s legal department members and law firms in order to obtain compliance related legal advice and support.u2022 Regular contact with all business units for the purposes of training, awareness, and investigations.External:u2022 Frequent and regular contacts with ADNOCu2019s commercial partners, including IOCs, NOCu2019s, other Abu Dhabi entities, service/goods providers, law firms, risk and compliance consultants for the purpose of sharing and aligning international compliance best practices and obtaining legal and compliance advice as required by the business.QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS:Minimum Qualification:u2022 Bachelor Degree in Law (Counsel) or other suitable similar discipline (Advisor).u2022 Admitted to practice law in the UAE or other suitable jurisdiction (Counsel)Minimum Experience & Knowledge & Skills:u2022 Minimum 8 years of relevant post-qualification work experience, preferably in top-flight international law / accounting / consultancy firm(s) and/or local or international blue-chip corporate(s).u2022 Excellent English language (written and spoken). Fluent Arabic in addition a substantial advantage
